3. Eligibility

You may use StageVFX only if you are legally allowed to enter into a binding agreement.

If you use StageVFX on behalf of a company, artist, venue, event organization, agency, or other legal entity, you confirm that you have authority to accept these Terms on behalf of that entity.

4. Accounts and access

Certain StageVFX products or services may require an account, license key, activation, login, or other access method.

You are responsible for keeping your account details, license keys, passwords, and access credentials secure. You may not share access with anyone who is not allowed to use the relevant product or license.

You are responsible for all activity that takes place under your account or license.

5. Software licenses

When you purchase or receive access to StageVFX software, you receive a limited, non-exclusive, non-transferable, revocable license to use the software according to the license type, plan, subscription, quote, order form, or written agreement that applies to your purchase.

You do not own the software. StageVFX and its licensors retain all rights, title, and interest in the software, platform, tools, code, systems, templates, workflows, presets, reusable assets, designs, documentation, and underlying technology.

Unless expressly agreed in writing, you may not:

- copy, resell, sublicense, rent, lease, lend, distribute, or transfer the software;
- share your license key, account, or access credentials with unauthorized users;
- reverse engineer, decompile, disassemble, or attempt to extract source code, except where this is allowed by mandatory law;
- bypass, remove, disable, or interfere with license checks, watermarks, technical restrictions, access controls, or security features;
- use the software to build a competing product or service;
- remove copyright, trademark, watermark, licensing, or ownership notices;
- use the software in a way that violates applicable law or third-party rights.

6. License types and usage rights

StageVFX may offer different license types, including demo licenses, non-commercial licenses, basic licenses, commercial licenses, advanced licenses, beta access, pilot access, and custom enterprise agreements.

Your allowed use depends on the license you have purchased or received.

A non-commercial, demo, trial, educational, beta, or free license may be limited in features, output quality, duration, audience size, watermarks, export options, or commercial usage rights.

A commercial license may allow use in paid performances, professional shows, public events, venue programming, touring, livestreams, recordings, or other commercial settings, but only within the limits stated in your plan, order, quote, agreement, or product description.

If your use exceeds the scope of your license, you must upgrade your license or obtain written permission from StageVFX.

7. Live performance and public use

Public performance, touring, festival use, venue use, commercial event use, livestreaming, broadcast, paid client work, or use in monetized media may require a commercial license.

Unless your license or written agreement says otherwise, you are responsible for making sure that your use of StageVFX is covered by the correct license type.

You are also responsible for obtaining any rights, clearances, permissions, venue approvals, music rights, performance rights, broadcast rights, image rights, or third-party permissions required for your event, content, music, brand, or performance.

8. Custom visual services

StageVFX may provide custom services, including visual concepts, show design, production work, technical direction, live show support, pilot performance concepts, event visuals, venue or festival visual partnerships, content production, and related creative or technical services.

Custom services are governed by the applicable quote, proposal, statement of work, order form, written agreement, or email confirmation.

Unless agreed otherwise in writing:

- StageVFX retains ownership of its pre-existing materials, software, toolkit, platform, reusable systems, workflows, code, templates, presets, design systems, methods, production techniques, generic assets, and know-how;
- you retain ownership of materials you provide, such as music, logos, trademarks, brand assets, images, video, performance content, scripts, and other customer materials;
- you grant StageVFX the rights needed to use your materials for the purpose of providing the agreed services;
- final deliverables are licensed to you for the agreed purpose, event, project, territory, duration, and usage scope;
- broader usage, reuse, resale, touring, sublicensing, merchandise use, media use, or adaptation may require additional permission or an additional fee.

9. Digital content, templates, presets, and asset packs

StageVFX may provide digital content such as templates, presets, scenes, visual systems, asset packs, content libraries, project files, show files, or downloadable materials.

Unless expressly agreed otherwise, these materials are licensed, not sold.

You may use them only within the scope of your license or written agreement. You may not resell, redistribute, sublicense, upload to marketplaces, share publicly, or make them available as standalone files or competing products.

10. Customer materials

You confirm that you have all rights needed to provide any music, logos, images, video, trademarks, branding, performance content, data, files, or other materials you send to StageVFX or use with StageVFX products.

You are responsible for your customer materials and for making sure they do not infringe the rights of others.

You grant StageVFX a limited right to use customer materials only as needed to provide the relevant product, service, support, project, or agreed deliverable.

11. Payments, billing, and taxes

Prices, payment terms, subscription periods, renewal terms, taxes, and included features are shown at checkout, in your quote, on your invoice, or in the applicable written agreement.

Payments may be processed by Paddle or another payment provider. Payment providers may act as merchant of record or payment processor depending on the checkout setup.

You agree to provide accurate billing information and to pay all amounts due.

Prices may exclude taxes unless stated otherwise. Taxes may be calculated and charged at checkout.

12. Subscriptions and renewals

Some StageVFX products may be sold as subscriptions.

Unless stated otherwise at checkout or in your agreement, subscriptions renew automatically until cancelled.

You are responsible for cancelling your subscription before the renewal date if you do not want it to renew.

Cancelling a subscription stops future renewals but does not automatically refund payments already made.

13. Cancellations

You may cancel a subscription through the available account, checkout, billing, or support process.

After cancellation, you may continue to have access until the end of the current paid billing period, unless stated otherwise.

StageVFX may suspend or cancel access if payment fails, if you breach these Terms, if fraud or misuse is suspected, or if continued access would create legal, security, or operational risk.

*4. Beta, demo, early-access, and experimental products

StageVFX may offer beta, demo, early-access, alpha, preview, or experimental products.

These products may be incomplete, unstable, limited, or subject to change. They may contain bugs, missing features, compatibility issues, or performance limitations.

StageVFX may modify, suspend, or discontinue beta, demo, or early-access products at any time.

15. Hardware, venues, and live-event conditions

StageVFX products and services may depend on external hardware, venue systems, projectors, LED screens, audio systems, MIDI controllers, OSC systems, computers, operating systems, graphics cards, cables, networks, power supply, venue infrastructure, or third-party software.

Unless expressly agreed otherwise, you are responsible for providing suitable hardware, venue conditions, technical crew, power, display systems, licenses, permissions, and safe working conditions.

StageVFX is not responsible for failures caused by unsuitable hardware, venue issues, third-party systems, power failures, network issues, incorrect setup, unsupported configurations, or changes outside our control.

16. Support

Support may be provided by email, documentation, calls, remote sessions, or other methods chosen by StageVFX.

Support availability may depend on your plan, license, agreement, time zone, and project scope.

StageVFX does not guarantee that every issue can be resolved, especially where the issue relates to third-party hardware, software, venues, operating systems, or unsupported configurations.

17. Acceptable use

You may not use StageVFX products or services to:

18. Intellectual property

StageVFX owns or licenses all rights in the StageVFX name, brand, software, platform, toolkit, workflows, systems, documentation, templates, presets, reusable assets, code, interface designs, visual systems, know-how, and related materials.

Nothing in these Terms transfers ownership of StageVFX intellectual property to you.

You may not use StageVFX trademarks, logos, branding, screenshots, product names, or marketing materials without permission, except where permitted by law.

19. Feedback

If you provide feedback, suggestions, ideas, bug reports, feature requests, or other comments, you allow StageVFX to use them without restriction or compensation.

This does not give StageVFX ownership of your customer materials, music, brand assets, or private project content.

20. Portfolio and publicity

Unless you ask us not to in writing, StageVFX may refer to your name, artist name, company name, venue name, event name, project name, public footage, public photos, or public project materials in our portfolio, website, pitch decks, social media, case studies, and marketing materials.

For non-public, confidential, unreleased, or sensitive projects, StageVFX will only publish materials with your permission or where the material is already public.

**21. Confidentiality**

During a project, either party may receive non-public information from the other party.

Each party agrees to use reasonable care to protect confidential information and not to disclose it except as needed to perform the project, comply with law, or enforce rights.

Confidential information does not include information that is already public, independently developed, lawfully received from another source, or approved for disclosure.

22. Third-party services and software

StageVFX products may interact with or rely on third-party tools, platforms, software, plugins, payment providers, game engines, operating systems, hardware, audio tools, MIDI devices, OSC systems, video systems, or hosting providers.

Third-party services are governed by their own terms and policies.

StageVFX is not responsible for third-party services, software, hardware, outages, updates, licensing terms, pricing changes, or discontinued functionality.

23. Availability and changes

StageVFX aims to provide reliable products and services, but we do not guarantee uninterrupted, error-free, or always-available access.

We may update, improve, change, suspend, or discontinue parts of our website, software, products, or services.

We may also change features, plans, pricing, technical requirements, or supported platforms from time to time.

24. No professional advice

Any creative, technical, business, production, or event-related guidance provided by StageVFX is for general project support only.

You remain responsible for decisions relating to your event, production, venue, safety, legal compliance, insurance, music rights, employment, taxes, and contracts with third parties.

25. Warranties

To the maximum extent permitted by law, StageVFX products and services are provided “as is” and “as available.”

We do not guarantee that the products or services will be uninterrupted, error-free, compatible with every system, suitable for every venue, or free from defects.

Nothing in these Terms limits any mandatory rights that cannot be excluded under applicable law.

26. Limitation of liability

To the maximum extent permitted by law, StageVFX is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

This includes loss of revenue, loss of data, loss of business, production delays, event disruption, reputational harm, or costs caused by third-party systems.

To the maximum extent permitted by law, StageVFX’s total liability for any claim is limited to the amount you paid to StageVFX for the relevant product or service giving rise to the claim during the three months before the event giving rise to liability.

This limitation does not apply where liability cannot be limited under applicable law.

27. Indemnity

You agree to indemnify and hold StageVFX harmless from claims, damages, losses, costs, and expenses arising from your use of StageVFX products or services.

This includes claims related to:

- your customer materials;

- your breach of these Terms;
- your misuse of StageVFX products or services;

After termination, your right to use the relevant product or service ends immediately, unless otherwise stated in writing.

29. Changes to these Terms

We may update these Terms from time to time.

The updated version will be posted on this page with a new “Last updated” date.

If changes are material, we may provide additional notice where appropriate.

Continued use of StageVFX after the updated Terms become effective means you accept the updated Terms.
